Terms and Conditions

To use the Cloud Sited Solutions S.A. page of C.V. (hereinafter CSS), its applications or any of its services and therefore undertake to comply with these terms and conditions, you (THE CUSTOMER) must be over 18 years of age and have sufficient legal capacity to be the holder of rights and obligations. . You declare under oath that the data with which you register are true and that you do so for your own interest and right, and do not represent any third party; In the event that it is your intention to open a business account on behalf of a legal entity, you accept and guarantee that they have sufficient powers to do so, otherwise all responsibility will be borne by you as a natural person.

CSS has developed proprietary software and databases that enable it to provide healthcare management solutions as a "software as a service" over the Internet, as described below (SaaS).

It is important that before starting to register and therefore using CSS services, you carefully read the terms and conditions as they contain the way of operating and the details of the relationship between you and CSS. It is also recommended that before using the services you verify that the reference terms and conditions have not changed or been updated in any way, which will appear in the upper right part of this document establishing the date of the last update.

CSS reserves the right to suspend the account or the entire service at any time without prior notice, in which case we will not be liable for any losses.

THE CUSTOMER mentioned in the signature block below wishes to subscribe to the SaaS.

1.- Subscription of THE CUSTOMER to the service
CSS grants THE CLIENT a non-transferable and non-exclusive license for the subscription to the Service, which will be provided to THE CLIENT by CSS through the Internet on a "software as a service" basis. The Service includes any software, databases and database structures used or incorporated into the Service. The Service also includes related manuals, documentation, new versions and updates that CSS may deliver or make available to THE CUSTOMER and any part and/or copies of the foregoing, in any form.

2.- Payment Conditions


THE CUSTOMER will pay CSS monthly subscription fees for the service based on monthly installments, with the first installment due on the effective date.
The initial duration of this Agreement is one month from the Effective Date. After expiration of the initial term, this Agreement will be renewed for additional consecutive periods of one (1) month. CSS or CUSTOMER may terminate this Agreement for cause if: (a) the other party materially breaches this Agreement and fails to cure the material breach within 30 days after receiving written notice of such breach. For the avoidance of doubt, and without limiting the rights of either party under the preceding sentence, the parties acknowledge and agree that if CUSTOMER fails to timely pay any charges to CSS in accordance with the payment terms set forth in this Agreement on two or more occasions in any one (1) month period, then (i) such occurrence will be considered a material breach of this Agreement, and (ii) CSS may, in its sole discretion, suspend or restrict the access of THE CUSTOMER and the use of the Service. CUSTOMER will stop using the Service, and will return to CSS all manuals and documentation for the service, upon expiration or termination of this Agreement for any reason.

THE CLIENT agrees to pay the amounts and commissions established in the price list of our platform.

THE CLIENT agrees that CSS reserves the right to modify said list at any time.

3.- Affiliation and Integration with Payment Engines
CSS will use the OPENPAY service to process payments, so the capture of the client's credit or debit card information is carried out on the platform and servers of the processor under its security standards and using the authentication of each of them. CSS does not store confidential information such as credit or debit card numbers and is not responsible for transmitting them, because it is done on servers independent of those of the service.

4.- Use of the Service
THE CUSTOMER will use the Service only as established in this Agreement. CUSTOMER understands and agrees that CSS will provide, and CUSTOMER will use, the Service "AS IS." THE CUSTOMER is responsible for using the Service and the reports and other data created, available from and/or generated by the Service, and for determining whether the service and the data and reports used meet THE CUSTOMER's purposes. THE CUSTOMER is responsible for determining whether he or she will use all or certain elements of the Service (provided that no discount or reduction in CSS rates will be made if THE CUSTOMER chooses not to use one or more elements of the Service). THE CUSTOMER acknowledges that the Service is provided through the Internet or other public networks, over which CSS maintains no control, and that the considerable risks, including loss and corruption of data, delays, non-deliveries, erroneous deliveries, and Service interruptions are associated with the reception, transmission, storage, manipulation, and other uses of data over these networks. THE CUSTOMER acknowledges and accepts all risks of reliance on or use of data received, transmitted, accessed, stored or managed by the Service. THE CUSTOMER agrees to determine, implement and take all appropriate or necessary precautions to protect itself from loss and damage associated with these risks. CUSTOMER will cause all of its personnel who access the Service from time to time to agree to comply with CSS policies and terms by clicking "I accept" indicated on the corresponding Service. CUSTOMER will be responsible for ensuring compliance with all CSS policies and terms by its staff. The Service, including any information, databases and third party products provided or incorporated into it, does not endorse or recommend treatments or medications, or diagnose patients. The service is designed to complement, and not replace, the experience, skill, knowledge and opinion of the health professional. Healthcare professionals should use their professional judgment in the use of information provided through the Service. Such information is not intended to cover all possible uses, instructions, precautions, warnings, drug interactions, allergic reactions, or side effects. The absence of a warning for a treatment, or drug combination, should in no way be interpreted as an indication that the treatment, medication, or combination thereof is safe, effective, or appropriate for any patient.

5.- THE CLIENT'S Data
So that the Service can be used to generate data and reports, THE CLIENT must upload the data indicated in the instructions for use of the Service to CSS servers. CSS will respect the property rights of THE CLIENT's data. CSS will make all commercially reasonable efforts to protect the confidentiality of THE CUSTOMER's data. CSS will not be able to claim or assert the ownership or ownership of THE CLIENT's data. CSS will cause its employees and agents who have access to CUSTOMER's data to comply with this Agreement. By uploading THE CLIENT's data to the CSS servers, THE CLIENT accepts that CSS may aggregate THE CLIENT's data, without assigning it and without revealing any personal identification information, with similar data that CSS receives from other clients with in order to create reference data and reports to be shared with CSS clients and their business partners.

6.- Feedback in relation to the Service
From time to time, CUSTOMER may provide, or CSS may request, feedback to CUSTOMER regarding the features, functionality and operation of the Service. Such CUSTOMER feedback may take various forms, including bug reports, conferences with CSS representatives, and written evaluations. CSS may incorporate any or all of such comments in future versions or releases of the Service or in new products. CSS will own all title, copyright and other proprietary rights in any changes, improvements or corrections CSS makes to the Service, and any new products CSS creates as a result of CUSTOMER feedback, including the right to copy, modify, create derivative works, publicly display, publish, distribute, license and sublicense through multiple levels of distribution and licenses, incorporate and use feedback from THE CUSTOMER, for all types of purposes.

7.- CSS Property Rights
The End-User agrees that CSS has and will maintain the title, copyright and other proprietary rights in the Service. THE CUSTOMER will cause its employees and/or its agents who have access to the Service to comply with this agreement. THE CUSTOMER may not claim or assert ownership or ownership of the Service, any version or release of the Service, or any modification to the Services. CUSTOMER has no right to access, use, examine or recreate the source code for the service, which is a trade secret of CSS. THE CUSTOMER will not alter the design of the service.

8.- Service Guarantees
CSS warrants that the service will operate substantially in accordance with the technical documentation for the Service provided by CSS to THE CUSTOMER. THE CUSTOMER'S only remedy for any breach of the above warranty will be the repair or correction of any violation of said warranty. CSS DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

9.- Notifications
Notifications made by email will have full value for the purposes of this agreement, which is why THE CLIENT ratifies that any notification made in the email provided will be valid. For its part, CSS can be contacted by email: admin@cloudsitedsolutions.com

10.- Of Recognition
This agreement constitutes everything agreed between the parties in relation to its object and leaves void any other negotiation, obligation or communication between them, whether verbal or written, carried out prior to this.
